Authorized Reseller Policy

Effective Date: June 15, 2024

Niles & Chaz® values the integrity of our products, our brand, and the experience our customers receive. To protect product quality, brand reputation, and our authorized retail partners, Niles & Chaz products may only be resold by businesses that have been expressly authorized by Niles & Chaz in writing.

1. Authorized Resellers

Only approved retailers, salons, professional beauty businesses, distributors, and other partners authorized in writing by Niles & Chaz may purchase products for resale.

Authorization is specific to the approved business and may not be transferred, assigned, or extended to another person, entity, location, or sales channel without prior written approval.

2. Approved Sales Channels

Authorized Resellers may sell Niles & Chaz products only through the locations, websites, or channels specifically approved by Niles & Chaz.

Without prior written authorization, Resellers may not offer or sell Niles & Chaz products through third-party marketplaces or platforms, including but not limited to:

• Amazon
• Walmart Marketplace
• eBay
• TikTok Shop
• Temu
• Facebook Marketplace
• Other third-party marketplace or auction platforms

Niles & Chaz reserves the right to approve or restrict specific sales channels at its discretion.

3. No Unauthorized Distribution

Authorized Resellers may not sell, transfer, supply, or distribute Niles & Chaz products to another reseller, wholesaler, distributor, broker, marketplace seller, or other third party for resale without prior written authorization.

Products purchased at retail or through promotional offers are not intended for resale.

4. Product Integrity

Resellers must store, handle, transport, and display Niles & Chaz products in a manner that preserves product quality and safety.

Products may not be:

• Altered, relabeled, repackaged, or tampered with
• Separated from required packaging
• Sold after expiration or outside recommended shelf-life requirements
• Sold if damaged, compromised, or otherwise unsuitable for consumer use

5. Brand Standards

Authorized Resellers must represent Niles & Chaz accurately and professionally.

Only approved product descriptions, images, trademarks, logos, claims, and marketing materials may be used. Resellers may not make unauthorized claims regarding product performance, ingredients, safety, or regulatory status.

6. Pricing and Promotions

Authorized Resellers are responsible for setting their own resale prices, subject to any separate pricing or promotional policy Niles & Chaz may adopt from time to time.

Any advertised discount, promotion, bundle, or offer using Niles & Chaz branding must accurately represent the products offered and must not mislead consumers.

7. Customer Experience

Authorized Resellers are expected to provide a professional customer experience consistent with Niles & Chaz brand standards, including appropriate customer service, fulfillment, returns, and product handling.

Niles & Chaz reserves the right to investigate customer complaints or concerns relating to product authenticity, condition, or reseller conduct.

8. Compliance with Law

Authorized Resellers must comply with all applicable federal, state, local, and international laws and regulations relating to the sale, advertising, labeling, storage, and distribution of cosmetic and personal care products.

9. Unauthorized Sellers

Products sold by unauthorized sellers may not be eligible for Niles & Chaz warranties, returns, exchanges, promotional support, or other brand-backed services.

Niles & Chaz cannot guarantee the authenticity, condition, storage, or handling of products purchased from unauthorized sellers.

10. Enforcement and Termination

Niles & Chaz reserves the right to suspend or terminate reseller authorization for violations of this policy, including unauthorized marketplace sales, diversion, improper product handling, misuse of intellectual property, or other conduct that may harm the brand or consumers.

Niles & Chaz may also take additional action available under contract or applicable law to protect its products, trademarks, customers, and authorized partners.
